🧑⚖️ Position Overview
The Tax Attorney will play a critical role in advising clients on complex tax matters, entity structuring, compliance risks, wealth-building strategy, and business transactions. You’ll support individuals, small businesses, investors, and high-net-worth clients while working alongside our accounting, advisory, and corporate services teams.
This role is ideal for someone who is detail-oriented, client-focused, entrepreneurial, and excited to build long-term relationships while helping clients legally minimize taxes and maximize wealth.
📝 Key Responsibilities
Tax Strategy & Advisory
- Develop and implement advanced tax strategies for individuals, businesses, investors, and real estate clients.
- Advise on 475(f), cost segregation, 199A, depreciation planning, entity stacking, and multi-state tax compliance.
- Provide guidance on partnership taxation, S-Corp elections, and restructuring for asset protection and tax efficiency.
Entity Formation & Corporate Structuring
- Draft and review operating agreements, partnership agreements, shareholder agreements, and resolutions.
- Counsel clients on LLCs, S-Corps, C-Corps, holding company structures, and multi-entity planning.
Transactional Support
- Support mergers, acquisitions, business sales, and joint ventures through tax analysis.
- Conduct due diligence on business transactions and real estate investments.
- Draft tax-driven clauses for contracts, asset purchases, and reorganizations.
Compliance & Representation
- Represent clients before the IRS and state tax authorities (audits, notices, appeals).
- Interpret federal and state tax code changes and communicate updates internally.
Client Consultation & Education
- Conduct client meetings explaining tax positions, planning opportunities, and compliance requirements.
- Collaborate with accountants, advisors, and executives to deliver unified strategies.
📚 Required Qualifications
- Juris Doctor (JD) from accredited law school.
- Admitted to at least one U.S. state bar (NY preferred but not required).
- Minimum 2–5 years of tax law experience (public accounting, law firm, or in-house tax).
- Strong knowledge of federal income taxation, entity taxation, and partnership rules (Subchapter K).
- Experience drafting legal documents and providing written tax opinions.
- Exceptional communication skills and ability to simplify complex tax concepts.
⭐ Preferred Qualifications
- LL.M. in Taxation strongly preferred.
- Experience with real estate taxation, private credit, or 1031 exchanges.
- Understanding of small-business tax planning and advisory.
- IRS representation experience.

$135,000 – $175,000 base depending on experience
