We are expanding our legal division and seeking a skilled Transactional Attorney who thrives in a dynamic, client-centric environment and wants to grow with a rapidly evolving financial services firm.

Position Overview

The Transactional Attorney will handle a wide range of corporate, contractual, and entity-based legal matters for our business and investor clients. This role is perfect for an attorney who wants meaningful, hands-on involvement with entrepreneurs, small businesses, real estate investors, and emerging companies.

You will work on business formations, partnership agreements, M&A support, private credit documentation, real estate transactions, and other day-to-day legal needs for Corporate Citizens LLC and its clients.

Key Responsibilities

Business & Corporate Law

• Draft and review operating agreements, partnership agreements, bylaws, joint venture agreements, and shareholder agreements.
• Form and structure LLCs, corporations, partnerships, and multi-entity structures for asset protection and tax optimization.
• Advise clients on corporate governance, compliance, and ongoing legal maintenance.

Contracts & Transactional Work

• Prepare, negotiate, and review commercial contracts, including vendor agreements, service agreements, NDAs, and independent contractor agreements.
• Draft private loan agreements, promissory notes, UCC filings, collateral agreements, and other transactional documents.

Real Estate & Investment Transactions

• Support closings for residential and commercial real estate, private investments, and asset acquisitions.
• Draft and review purchase agreements, assignment contracts, investment agreements, and offering documents (when applicable).

Mergers, Acquisitions & Business Sales

• Assist with due diligence, deal structuring, LOIs, and purchase agreements.
• Provide strategic legal guidance to small business owners preparing to buy, sell, or merge their companies.

Client Advisory & Collaboration

• Work closely with tax accountants, CFO advisors, and financial strategists to ensure legal solutions match overall tax and financial goals.
• Conduct client consultations and provide clear, actionable legal advice to entrepreneurs and investors.

Required Qualifications

• J.D. from an accredited law school.
• Active bar admission in NY or ability to waive in.
• 3–10 years of experience in corporate/transactional law.
• Experience with LLC structuring, contracts, and small-business matters.
• Strong drafting skills and exceptional attention to detail.
• Ability to manage multiple clients and deadlines in a fast-paced environment.
• Professional, client-first attitude.

Preferred (Not Required) Experience

• Real estate transactions or investor representation.
• Exposure to tax-optimized entity structuring.
• Experience with private lending or note transactions.
• Prior work with small businesses, startups, or family-owned companies.

Compensation

Base Salary:

$120,000 – $165,000 depending on experience.
